“THE ENEMY WITHIN”: THE INTERNAL FRAUD CRISIS AND MANAGEMENT LOOPHOLES OF FOREIGN CEOS IN HCMC

The high-speed commercial and service business environment in Ho Chi Minh City (HCMC) requires multinational corporations to localize their workforce. Foreign CEOs (Expats) often delegate full authority over business, finance, and human resources to Vietnamese General Managers, Sales Directors, or Chief Accountants.

They place complete trust in the flashy CVs and fluent English communication skills of their subordinates. However, this trust, lacking a cross-check mechanism in the HCMC market, has created fertile ground for a type of crime that silently devastates businesses: Internal Fraud.

Many FDI CEOs have suffered terrifying shocks upon discovering that their company’s declining profits were not due to the market, but because their own “right-hand” personnel were day and night siphoning off assets and stealing client databases to leak outside. At that point, instead of initiating criminal prosecution to recover assets, foreign CEOs tend to handle it via “internal dismissal” and often fall into the trap of reverse labor litigation.

1. Legal Nature: Not just a “Disciplinary Violation,” it is a Criminal Offense

Foreign Directors often mistakenly believe that embezzlement only applies to state-owned enterprises. However, since the 2015 Penal Code (amended in 2017) took effect, corruption and property appropriation crimes have been expanded to the private economic sector (FDI).

1.1. The Crime of Embezzlement (Article 353 of the Penal Code)

If a Chief Accountant or Director abuses their position and power to misappropriate money or assets of an FDI company valued at 2 million VND or more (by creating fake vouchers or paying ghost salaries), this person could face a sentence ranging from 02 years to Death (if the misappropriated amount exceeds 1 billion VND).

1.2. The Crime of Abuse of trust to appropriate property (Article 175 of the Penal Code)

A Sales or Procurement employee entrusted with company money for transactions, or assigned to manage warehouse goods, who arbitrarily sells them to pocket the money for personal use or absconds. The maximum penalty framework is up to 20 years in prison.

2. 3 Classic “Siphoning” Scenarios at FDI Offices in Saigon

From our experience representing FDI enterprises in denouncing economic crimes at the Economic Police Department (PC03) of HCMC Police, Apluslaw points out the 3 most sophisticated tricks:

2.1. Scenario 1: The Sales Director’s “Shadow Company”

An FDI Sales Director in District 1 holds the entire major client database. Taking advantage of the foreign CEO’s lack of close supervision, this person secretly has family members set up a company in the same industry. High-profit-margin orders are “leaked” to this shadow company, leaving the FDI company with only small, hard-to-collect retail orders. This is not just a confidentiality breach but also shows signs of the Crime of intentional violation of regulations or Embezzlement.

2.2. Scenario 2: The Chief Accountant’s Magic

Exploiting the fact that the foreign CEO does not understand Vietnamese invoices and vouchers, and has a habit of “blind signing” or handing over the digital signature Token to accounting, the Chief Accountant creates “ghost employees” to transfer monthly salaries into family members’ accounts or make payments to virtual suppliers. Billions of VND evaporate without the CEO knowing until the year-end audit.

2.3. Scenario 3: The Procurement Director’s “Underground” Kickbacks

The Procurement Director colludes with suppliers in HCMC to falsely inflate the value of raw materials and services by 20-30%. This difference is transferred back (kickback) by the supplier into the Procurement Director’s personal account. This act directly erodes the FDI enterprise’s profits.

3. The Mistake of Foreign CEOs: “Dismissal” instead of “Imprisonment”

Upon discovering fraud, the first reaction of 90% of foreign CEOs with a Western mindset is: Calling the employee to the office, demanding they sign a Resignation Letter, or issuing an immediate dismissal decision to avoid a “scandal”.

The consequences of this haste are extremely disastrous:

3.1. Loss of evidence

Immediately upon leaving the company, the fraudster wipes all emails, destroys vouchers, and disperses assets into other people’s names. The FDI company permanently loses the opportunity to recover the stolen money.

3.2. Getting sued back in Court

Dismissing an employee without going through Vietnam’s strict labor disciplinary process will turn the FDI company into the law-breaking party. In many cases, the embezzler not only avoids prison, but the FDI company also has to compensate billions of VND for “illegal dismissal” to that very person.

4. The “Fox Hunting” and Asset Recovery Solution with Apluslaw

To handle internal fraud, FDI enterprises cannot use “Civil Law” but must use the “Iron Fist” of Criminal Law. Apluslaw provides a closed-loop crisis management process:

4.1. Freeze and Digital Evidence Preservation

As soon as there is suspicion, Lawyers and technology experts will secretly collect camera data, extract computer hard drives, backup emails, and create a Bailiff’s Report before the subject can erase their tracks.

4.2. Forensic Accounting

Coordinating with auditors to investigate underground cash flows, expose the “shadow company” structure, and accurately determine the embezzled amount as a basis for constituting a criminal offense.

4.3. Representing in filing a Criminal Denunciation

Apluslaw’s Criminal Lawyers will draft the crime denunciation dossier, representing the enterprise to work directly with the Police Investigation Agency (PC02, PC03). The ultimate goal is to request the police to apply Exit Bans and Bank Account Freezing measures against the subject to force them to disgorge the money, remediate the consequences, and return the assets to the FDI company.

Trust is the foundation of management, but control through iron discipline is the tool to protect assets. Foreign CEOs should not let language barriers and undue deference turn them into “prey” right in their own offices in HCMC.
